Appointment Suites Ambassador Program
Ambassador Program Terms & Conditions
These Ambassador Program Terms & Conditions (the “Terms”) are a binding agreement between you (“Ambassador,” “you,” or “your”) and CTE Consultants General Sales LLC, a Georgia limited liability company doing business as Appointment Suites (“Appointment Suites,” the “Company,” “we,” “us,” or “our”), and govern your participation in the Appointment Suites Ambassador Program (the “Program”).
By submitting an ambassador application, checking the acceptance box, or participating in the Program in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not apply or participate.
1. The Program
The Program allows approved individuals and businesses to refer beauty and grooming professionals — such as barbers, nail technicians, estheticians, cosmetologists, hairstylists, lash and brow technicians, makeup artists, and mobile beauty professionals — to the Appointment Suites platform, and to earn commissions when a referred business maintains an active paid Appointment Suites subscription, subject to these Terms.
No purchase is required. You do not need a paid Appointment Suites subscription, and there is no fee, to apply to or participate in the Program.
2. Eligibility and Application
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate, current, and complete information in your application and keep it updated.
- All applications are reviewed by the Company. Approval is at our sole discretion, and we may decline any application for any lawful reason. Submitting an application does not create an ambassador relationship; the Program begins only when we notify you that your application is approved.
- You may not participate if doing so would violate any law, regulation, or agreement that applies to you, including any obligation to your employer.
3. Independent Contractor Relationship
You participate in the Program as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship. You have no authority to bind the Company, make promises on its behalf, accept payments for it, or modify its prices, plans, or offers. You are solely responsible for your own expenses, equipment, insurance, and the manner in which you promote the Program.
4. Referral Links and Attribution
- Approved Ambassadors receive a unique referral code, signup link, and QR code (collectively, your “Referral Link”).
- A referral is attributed to you when a business registers for Appointment Suites using your Referral Link or enters your referral code at signup. Attribution is recorded at registration.
- Each referred business can only ever be attributed to one referrer. If a business was already attributed to another referrer or ambassador, it cannot be re-attributed to you.
- Referrals are only attributed while your ambassador account is in active status. Codes belonging to pending, paused, suspended, or rejected accounts do not attribute referrals.
- The Company’s records are the system of record for all attribution, referral, commission, and payment determinations.
5. Commissions
- Rate. The standard commission rate is 2% of the referred business’s monthly subscription price. Your individual rate is stated in your approval notice and shown in your ambassador dashboard; if your rate differs from the standard rate, your individual rate controls.
- Recurring accrual. A commission accrues for each calendar month in which a referred business maintains an active, paid Appointment Suites subscription, calculated on that subscription’s monthly price.
- Free and promotional periods. Free trials and promotional periods — including the 90-day founding offer — do not generate commissions, even if the subscription is marked active during that period. Commissions begin with the referred business’s first full paid calendar month and continue monthly only while the paid subscription remains active.
- No commission accrues for months in which the referred business’s subscription is canceled, lapsed, unpaid, refunded, on a free plan, or otherwise not an active paid subscription.
- Self-referrals are ineligible. You may not earn commissions on any business owned or registered by you, registered with your own email address, or otherwise controlled by you. The Company may treat referrals of your immediate household or entities under common control as self-referrals.
- No guaranteed earnings. Commissions depend entirely on referred businesses subscribing and remaining subscribed. The Company makes no representation about the earnings you will or may achieve, and you must not make any such representation to others.
6. Commission Statements, Payment, and Taxes
- Statements. The Company issues commission summaries, generally monthly, by email and/or in your ambassador dashboard.
- Payment. Payouts are processed by the Appointment Suites team. The Company may designate or change the payout method, schedule, currency, and any reasonable minimum payout threshold, and may require you to provide accurate payment and identity information before paying. Amounts below any announced threshold roll forward until the threshold is met.
- Adjustments and reversals. The Company may withhold, adjust, or reverse any commission that resulted from fraud, abuse, self-referral, misattribution, system error, or a refunded, charged-back, disputed, or canceled subscription payment, and may offset such amounts against future payouts.
- Disputes. If you believe a statement or payment is incorrect, notify us through the contact page within 60 days of the statement date; otherwise the statement is deemed accepted.
- Taxes. You are solely responsible for all taxes on your Program earnings. Where required by law, the Company may request a completed IRS Form W-9 (or applicable equivalent) and may issue IRS Form 1099 or other required reporting, and may withhold payment until requested tax documentation is provided.
7. Promotion Rules and Prohibited Conduct
You agree to promote Appointment Suites honestly and lawfully. You must not:
- make false, misleading, or unsubstantiated claims about Appointment Suites, its pricing, features, or the Program — including any claim of guaranteed, typical, or expected earnings, or any commission rate, payout timing, or term that does not match the Company’s published terms;
- send spam or unsolicited bulk communications, or violate any applicable marketing law, including the CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA);
- fail to clearly disclose your material connection to Appointment Suites when promoting it, as required by the FTC Endorsement Guides (for example, using a clear disclosure such as “ad,” “sponsored,” or “I earn a commission”);
- create fake, incentivized, or fraudulent signups, register businesses on behalf of others without their knowledge, or manipulate attribution in any manner;
- bid on or register trademarks, trade names, or confusingly similar terms of the Company (including “Appointment Suites”) in paid search, domain names, usernames, or app listings, or represent yourself as the Company or an employee of the Company;
- place your Referral Link on sites containing unlawful, infringing, hateful, or sexually explicit content, or use cookie-stuffing, forced clicks, iframes, typosquatting, or similar techniques;
- offer unauthorized rebates, discounts, or payments to prospective customers to induce signups; or
- use the Program in violation of any applicable law or regulation.
8. Limited Trademark License
While your ambassador account is active, the Company grants you a limited, revocable, non-exclusive, non-transferable license to use the Appointment Suites name, logo, and approved marketing materials solely to promote the platform in accordance with these Terms. All goodwill from such use inures to the Company. The license ends automatically when your participation ends, and we may revoke it or require changes to your use of our marks at any time.
9. Privacy and Data
- Application and account information you provide is used to operate the Program — reviewing applications, tracking referrals, calculating commissions, sending Program emails, and processing payments.
- Your dashboard displays limited information about referred businesses (such as business name and subscription status). You must keep this information confidential, use it only for the Program, and never sell it or use it for separate marketing.
- You must comply with applicable privacy and data-protection laws in your promotional activities.
10. Suspension and Termination
- You may stop participating at any time by notifying us through the contact page.
- The Company may pause, suspend, or terminate your participation, or the entire Program, at any time. Where practical we will give notice, but we may suspend or terminate immediately for suspected fraud, abuse, or violation of these Terms.
- On termination without your breach, commissions validly accrued before the termination date and not subject to reversal under Section 6 remain payable in the ordinary course. On termination for fraud or material breach, unpaid commissions connected to the fraud or breach are forfeited.
- Attribution of new referrals stops immediately when your account is no longer active.
11. Disclaimers and Limitation of Liability
THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM OR THESE TERMS WILL NOT EXCEED THE COMMISSIONS PAID OR PAYABLE TO YOU IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST OPPORTUNITIES.
12. Indemnification
You will defend, indemnify, and hold harmless the Company and its members, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your promotional activities, your breach of these Terms, or your violation of any law or third-party right.
13. Changes to the Program and These Terms
The Company may modify the Program and these Terms, including commission rates and payment terms, by posting an updated version at this page and updating the “Last updated” date, and will make reasonable efforts to notify active Ambassadors of material changes by email or dashboard notice. Changes apply prospectively from their effective date and do not reduce commissions already validly accrued. Your continued participation after the effective date constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Program that cannot be resolved informally will be brought exclusively in the state or federal courts located in Georgia, and each party consents to personal jurisdiction and venue there. Each party waives any right to a jury trial to the extent permitted by law.
15. General
- These Terms, together with your approval notice and any policies referenced here, are the entire agreement between you and the Company about the Program and supersede prior discussions.
- You may not assign these Terms without our written consent; the Company may assign them to an affiliate or successor.
- If any provision is unenforceable, the remainder stays in effect, and the provision will be enforced to the maximum extent permitted.
- A failure to enforce a provision is not a waiver of it.
- Sections 3, 5–7, and 9–15 survive termination of your participation.
Questions about these Terms or the Program can be sent through the Appointment Suites contact page.
